This role involves leading and handling cutting-edge and complex legal projects and matters. In addition, you must have the ability to operate independently in a fast-paced, growing environment and be comfortable working collaboratively and proactively within the legal team as well as across other functional teams and with external stakeholders. In this role, you should also expect to interact with the senior leadership team and Board of Directors, and should be comfortable doing so. Key responsibilities : In collaboration with the Companys Finance team, preparing, managing and overseeing the companys SEC filings, including periodic reports, current reports, proxy statements, Section 16 filings, securities offerings and other related filings. Overseeing and providing support to the Board of Directors and its Committees in the areas of public disclosures, corporate governance and policies, oversight responsibilities, executive compensation and other public company obligations and best practices. Drafting and filing of the companys annual proxy statement. Advising on annual report and shareholder meeting. Ensuring compliance with SEC and NYSE rules and regulations. Providing legal support and guidance with respect to executive compensation, as well as equity plan administration and trading windows. Providing legal support to the General Counsel & Corporate Secretary, including the drafting, preparation and review of Board of Director meeting materials. Reviewing external communications, including press releases, investor presentations, and other announcements, and significant internal communications. Acting as a key business partner and advisor to the companys leadership team as well as the investor relations, internal audit, finance, human resources and corporate development functions. Responsible for drafting and interpretations of company policies and procedures, including compliance policies. Assisting in M and other strategic transactions, including negotiating and drafting definitive agreements and related documents, and managing external counsel. Structuring, drafting and negotiating complex transaction agreements. Providing legal support on a broad set of issues associated with the company's activities, including transactional matters, vendor management, audit, real estate, insurance, risk management and product development Managing outside counsel and the assigned portion of Legal budget. Requirements: Minimum of 6 years experience of law firm and in-house experience as a securities and corporate attorney with substantial subject matter expertise in securities matters including the 33 Act and 34 Act, corporate governance, SEC/SOX compliance and mergers and acquisitions transactions. Prior in-house and corporate law firm experience are both essential. Juris Doctorate from an accredited law school with a strong academic record. Licensed and in good standing to practice law. Strong analytical and problem-resolution skills; exceptional business judgment, with the ability to think strategically and give practical advice by balancing business needs with legal risks. Ability to make effective and persuasive presentations on controversial and/or complex topics to all levels of management, as well as Board of Directors and outside third parties. Excellent written, oral and interpersonal skills and the ability to interface with, and gain the respect of, stakeholders at all levels, including Board of Directors. Strong negotiating skills with both legal and financial/commercial issues and functions of the company. Must be an independent and strategic thinker who is a strong team player (no job is too small or too large) and willing to take on additional responsibilities. Ability to manage several simultaneous projects under deadline pressure. Excellent verbal and written communication skills to effectively work with various departments and levels within the company, as well as Board of Directors and shareholders. Ability to work independently and in a fast-paced environment required. Extremely professional with excellent judgment and utmost discretion in handling highly sensitive and confidential matters. Proficiency with Google Apps, Microsoft Office and cloud-based storage (i. e. , Box). A plus if you have: Experience with or an understanding of licensing and intellectual property matters.
